These Terms of Use (the "Terms") govern your access to and use of Opkaido.io and any subdomains (the "Site"), operated by Opkaido LLC ("Opkaido," "we," "us," or "our"). By accessing or using the Site, you agree to these Terms. If you do not agree, do not use the Site.

If you engage Opkaido for consulting services, those services are governed by a separate written engagement letter or statement of work between you and Opkaido, not by these Terms.

You must be at least eighteen years old to use the Site. By using the Site, you represent that you are at least eighteen and have the legal capacity to enter into these Terms.

3. Changes to these Terms

We may update these Terms from time to time. The current version is always posted at this URL with the effective date at the top. Material changes take effect on the date posted. Your continued use of the Site after the effective date of an update means you accept the updated Terms. If you do not agree to a change, stop using the Site.

4. License to use the Site

We grant you a limited, revocable, non-exclusive, non-transferable license to access and view the Site for your personal or internal business use. This license does not include the right to:

  • copy, reproduce, or republish content beyond standard browser caching;
  • modify, adapt, translate, or create derivative works of the Site or its content;
  • use any data mining, robot, scraper, or similar data-gathering tools;
  • frame, mirror, or otherwise reproduce any portion of the Site on another site;
  • decompile, reverse-engineer, or attempt to extract source code from the Site;
  • use the Site or its content to develop a competing product or service;
  • use the Site in any manner that violates applicable law or these Terms.

We reserve all rights not expressly granted.

All content on the Site, including text, graphics, photographs, logos, the "Opkaido" name and any associated marks, the design and arrangement of the Site, and any underlying code we own, is the property of Opkaido or our licensors and is protected by United States and international intellectual property laws.

The "Opkaido" name and any associated logos are trademarks of Opkaido LLC. You may not use them without our prior written permission, except for nominative uses permitted by law (such as fair-use references in independent reporting or commentary).

If you submit content to us through the Site (a contact-form message, scheduling intake, an email reply, or otherwise), you grant Opkaido a non-exclusive, royalty-free, worldwide license to use that content for the limited purposes of responding to you, preparing for and delivering services you have engaged us for, maintaining business records, and improving the Site and our services. We do not claim ownership of your submissions, and we do not use your submissions to train third-party artificial intelligence systems.

6. Acceptable use

You agree not to:

  • use the Site in any way that violates applicable federal, state, local, or international law;
  • attempt to gain unauthorized access to any part of the Site, any account, any server, or any system or network connected to the Site;
  • introduce viruses, malware, or any other harmful code;
  • impersonate any person or entity, or misrepresent your affiliation with a person or entity;
  • harass, abuse, threaten, or defame any person, including Opkaido staff;
  • use the contact form, email, or scheduling tools to send spam, chain communications, or unsolicited promotional content;
  • collect or harvest any information from the Site by automated means;
  • use the Site or any content for commercial purposes other than as expressly permitted by these Terms.

We may suspend or terminate your access at any time if we believe in good faith that you have violated this section.

7. Email subscriptions and communications

If you subscribe to the Opkaido email list, you are opting in to receive periodic emails from us. Every email contains an unsubscribe link. You can unsubscribe at any time, and we honor unsubscribe requests promptly, consistent with the federal CAN-SPAM Act and applicable state law.

We may also send you transactional or relationship messages that are not promotional, such as a reply to your contact-form submission, a confirmation of a scheduled call, or a payment receipt. These messages are not subject to unsubscribe and will continue as long as the related interaction or engagement is active.

8. Scheduling

The Site may allow you to book a call with Opkaido through a third-party scheduling tool. A scheduled call is a request to meet, not a binding services agreement. Opkaido may decline, reschedule, or cancel any booking. Any consulting engagement requires a separately signed engagement letter or statement of work.

9. Payments and refunds

If the Site offers paid items (deposits, retainers, or specific services), payments are processed by a third-party payment processor and are subject to that processor's terms. By submitting a payment, you authorize us and the processor to charge the payment method you provide for the amount specified at checkout.

Refund policy. Refunds are at Opkaido's discretion, considered in good faith on a case-by-case basis. If you are dissatisfied with anything you have paid for through the Site, contact us at contact@opkaido.io and we will work toward a fair resolution, which may include a refund, a credit toward future services, or additional work at no charge. The terms of any signed engagement letter or statement of work control over this paragraph if there is a conflict.

10. No advisory relationship from Site content

Content on Opkaido.io, including writing, frameworks, downloadable resources, and any responses to general inquiries, is provided for general informational purposes. It is not consulting, business, financial, legal, tax, or other professional advice, and it does not create a consulting or advisory relationship between you and Opkaido. An advisory relationship exists only under a separately signed engagement letter or statement of work between you and Opkaido. Do not act on Site content as if it were tailored advice for your specific situation.

11. Third-party services and links

The Site uses third-party services to function, including a hosting platform, a scheduling tool, an email service, and a payment processor. Each third-party service is subject to its own terms and privacy policies. We do not control those services and are not responsible for their performance, content, or practices. The Site may also link to third-party websites; those sites are also outside our control, and we are not responsible for their content or privacy practices.

12. Disclaimer of warranties

The Site and all content on it are provided "as is" and "as available," without warranties of any kind, either express or implied. To the fullest extent permitted by applicable law, Opkaido disclaims all warranties, express or implied, including implied warranties of merchantability, fitness for a particular purpose, non-infringement, and any warranty arising from course of dealing or usage of trade.

Opkaido does not warrant that the Site will be uninterrupted, error-free, secure, or free of viruses or other harmful components, or that any defects will be corrected.

Your use of the Site is at your own risk.

13. Limitation of liability

To the fullest extent permitted by applicable law, Opkaido and its officers, members, managers, employees, and agents will not be liable for any indirect, incidental, consequential, special, punitive, or exemplary damages, including lost profits, lost revenue, lost data, or business interruption, arising out of or relating to your use of the Site or these Terms, even if Opkaido has been advised of the possibility of such damages.

Opkaido's total cumulative liability arising out of or relating to the Site or these Terms, from all causes of action and all theories of liability, will not exceed the greater of (a) the amounts you have paid to Opkaido in the twelve months immediately preceding the event giving rise to the claim, or (b) one hundred dollars ($100).

Nothing in these Terms limits or excludes liability that cannot be limited or excluded under applicable law, including liability for fraud, gross negligence, willful misconduct, or your statutory consumer rights under California law.

14. Indemnification

You agree to defend, indemnify, and hold harmless Opkaido and its officers, members, managers, employees, and agents from and against any claim, demand, action, or proceeding brought by a third party, and any related losses, damages, liabilities, costs, and expenses (including reasonable attorneys' fees), arising out of or relating to (a) your use of the Site in violation of these Terms or applicable law, (b) any content you submit to the Site, or (c) your violation of any third party's rights through your use of the Site.

This obligation does not apply to the extent the claim arises out of Opkaido's gross negligence or willful misconduct.

15. Termination

We may suspend or terminate your access to the Site at any time, with or without notice, for any reason, including suspected violation of these Terms. Sections that by their nature should survive termination, including Sections 5, 9, 10, 11, 12, 13, 14, 16, 17, and 18, will survive.

16. Governing law and venue

These Terms are governed by the laws of the State of California, without regard to its conflict-of-laws principles. Any dispute arising out of or relating to these Terms or your use of the Site will be brought exclusively in the state or federal courts located in Sacramento County, California, and you consent to the personal jurisdiction of those courts.

17. No class actions

Any claim or dispute must be brought in your individual capacity, and not as a plaintiff or class member in any purported class, collective, consolidated, or representative proceeding. The court may not consolidate or join more than one person's claims and may not preside over any form of representative or class proceeding.

18. General

Entire agreement. These Terms, together with the Privacy Policy and any engagement letter you sign with Opkaido, are the entire agreement between you and Opkaido regarding the Site.

Severability. If any provision of these Terms is held unenforceable, the remaining provisions will remain in full force, and the unenforceable provision will be modified to the minimum extent necessary to make it enforceable while preserving its intent.

No waiver. Our failure to enforce any provision does not waive our right to enforce it later.

Assignment. You may not assign these Terms without our prior written consent. We may assign these Terms in connection with a merger, acquisition, or sale of substantially all of our assets.

Headings. Section headings are for convenience and do not affect interpretation.
